Abstract This paper tests the effect of fulfillment social responsibility of listed companies and the performance with social responsibility Index of listed companies prepared by the Shanghai National Accounting Institute. Finding shows that the implementation of social responsibility may not necessarily enhance the performance. However, a furher examining of the variables of corporate governance such as the size of board of directors, proportion of independent directors reveals that implementation of social responsibility will lead to a raising finance performance and growth. It is arugued that a sound corperate governance and a stratedgic plan with CSR is a must for a positive effect of corperate performance
